Authorized Online Reseller Policy & Enforcement Terms

This Authorized Online Reseller Policy (“Policy”) governs the sale of products of Dickinson Brands, Inc. (including but not limited to Dickinson’s, T.N. Dickinson’s, and Humphreys) (“Products of Dickinson Brands”). It applies to all resellers, whether purchasing directly from Dickinson Brands or from an authorized distributor. By purchasing, reselling, or offering for sale any Products of Dickinson Brands, you agree to comply with this Policy. Failure to comply may result in enforcement actions as set forth below. 

1. Authorized Sales Channels 

Products of Dickinson Brands may be sold only: 

- On websites owned and operated directly by the authorized reseller. 

- On third-party marketplaces within the United States and territories (including but not limited to Amazon, Walmart, eBay, Target) only if expressly authorized in writing by Dickinson Brands. 

Sales via unauthorized channels, drop-shipping arrangements, classified ads, or social commerce platforms without written authorization are prohibited. 

2. Brand Integrity & Packaging 

Resellers must: 

- Sell Products only in original, unopened packaging. 

- Use accurate product descriptions and imagery provided or approved by Dickinson Brands. 

- Not alter or remove UPCs, lot codes, batch codes, or expiration dates. 

- Not repackage, relabel, or modify Products in any way. 

3. Use of Marketing & Creative Assets 

All trademarks, logos, product images, lifestyle photography, videos, copy, and other brand assets (“Brand Assets”) are the exclusive property of Dickinson Brands, Inc. 

Authorized resellers may use Brand Assets only with prior written approval or when assets are provided directly by Dickinson Brands  for this purpose. Use of Brand Assets is limited to accurately marketing the authorized products and must follow current brand guidelines. 

Resellers may not modify, alter, crop, or repurpose Brand Assets, nor use Brand Assets in paid advertising, social media, or off-platform marketing without express written permission. 

Unauthorized use of Brand Assets may result in revocation of authorization, suspension of supply, or other corrective action. 

4. Marketing & Paid Search 

Resellers must: 

- Obtain written approval from Dickinson Brands before using any brand name, product name, or trademark in paid advertising (including but not limited to Google Ads, Facebook/Instagram ads, and sponsored search placements). 

- Avoid bidding on restricted keywords as specified by Dickinson Brands. 

5. Sales to End Users Only 

Products of Dickinson Brands are to be sold solely to end consumers. 

Sales to other resellers, distributors, or wholesalers are prohibited without prior written authorization. 

6. Geographic Restrictions 

Resellers may not sell or ship Products of Dickinson Brands outside of the United States without prior written consent from Dickinson Brands. 

7. Bulk Purchase Monitoring 

Orders significantly exceeding normal consumer demand or customary purchasing patterns may be deemed bulk purchases and may require prior written approval from Dickinson Brands. 

8. No Bundling with Non-Brand Products 

Products of Dickinson Brands may not be bundled, packaged, or promoted alongside non-Dickinson Brands products in a manner that implies endorsement, affiliation, or co-branding, except where such bundles are created and sold directly by a first-party (1P) retail partner or are otherwise expressly approved in writing by Dickinson Brands. 

Unauthorized reseller-created bundles, including but not limited to kits or multi-brand packages offered by third-party sellers on marketplaces, are prohibited. 

9. Disclosure of Sales Channels 

Resellers must provide Dickinson Brands with a complete and accurate list of all domains, marketplaces, and physical retail locations where Products will be offered, and must update this information if any changes occur. 

10. Minimum Advertised Price (MAP) 

If a Minimum Advertised Price (MAP) policy is in effect for any Product, resellers must comply with it. 

Violations of MAP may result in immediate revocation of authorization. 

11. Compliance with Laws 

Resellers must comply with all applicable federal, state, and local laws, including but not limited to: 

- Consumer protection laws 

- Privacy regulations (including maintaining a public privacy policy) 

- Payment Card Industry Data Security Standards (PCI DSS) for online transactions 

Enforcement Addendum 

1. Monitoring & Identification 

Dickinson Brands actively monitors online sales channels, including but not limited to Amazon.com, Walmart.com, eBay.com, Target.com, and social marketplaces, using: 

- Marketplace sweeps 

- Test purchases 

- Lot code and UPC tracking 

- Customer complaint investigations 

2. Notice of Violation 

When a reseller is identified as violating this Policy: 

- A Cease-and-Desist Notice will be issued. 

- The reseller will have 30 business days to comply and remove non-compliant listings. 

3. Immediate Action for Severe Violations 

Dickinson Brands may take immediate enforcement action without prior notice in cases of: 

- Unauthorized sales on third-party marketplaces (including unapproved Amazon listings) 

- Tampering with or altering packaging, lot codes, or expiration dates 

- Selling expired, damaged, or counterfeit product 

- Misrepresenting Products of Dickinson Brands through inaccurate descriptions or imagery 

Immediate actions may include: 

- Filing intellectual property infringement or counterfeit claims with marketplaces 

- Filing brand registry enforcement actions 

- Contacting payment processors or distributors to block further sales 

4. Marketplace Enforcement 

For persistent violations, Dickinson Brands will: 

- Submit enforcement claims under Intellectual Property Infringement, Counterfeit, Unauthorized Sales, or Brand Misuse 

- Request seller account restrictions or suspensions from marketplaces 

5. Legal Remedies 

Dickinson Brands may pursue: 

- Civil legal action for damages, injunctive relief, and attorneys’ fees 

- Claims for breach of contract, trademark infringement, unfair competition, and related causes of action 

6. Loss of Authorized Status 

Any reseller in violation will: 

- Immediately lose authorization to sell Products of Dickinson Brands 

- Be removed from all authorized dealer/distributor lists 

- Forfeit access to brand-provided marketing materials and promotional support 

Any reseller found to be in violation of this Policy may, at the sole discretion of Dickinson Brands: 

7. No Waiver 

Failure to enforce any provision of this Policy does not waive Dickinson Brands’ right to enforce it at a later date;  

Integration Clause: 
This Policy is incorporated by reference into, and forms a part of, the broader contractual framework governing the sale of products of Dickinson Brands, including but not limited to Dickinson’s, T.N. Dickinson’s, and Humphreys. This Policy shall be read in conjunction with Dickinson Brands’ Website Terms of Use, Privacy Policy, and any other agreements applicable to resellers, distributors, or customers. Together, these documents constitute the complete and integrated agreement between Dickinson Brands and its resellers regarding the sale and distribution of products of Dickinson Brands. 

8. Policy Changes 

Dickinson Brands reserves the right to amend this Policy at any time. Continued sale of Products of Dickinson Brands constitutes acceptance of the updated Policy.
